    Wholesale Terms + MAP, MSRP Policy

    Retailer” refers to the applicant for a Wholesale Account as defined by completed Wholesale Account Application provided by such applicant, and any spa, retailer, and/or wholesaler who purchases products from AWB for its back bar usage and/or resale directly from AWB or via

    1. By submitting an order for any product, you are agreeing to remit payment for such order within the terms set forth in these Terms and Conditions.

    Wholesale Purchase & Payment

    1. Retailer may only sell those “Retail Product(s)” listed above only in its Approved Retail Channels.
    2. Approved Retail Channels” are those specific brick and mortar stores and/or online stores that are pre-approved by AWB in writing.
    3. Retailer may also purchase “Back Bar Products” listed above to be used solely by its estheticians in providing skin care services to Retailer’s clients. Back Bar Product may not be used for any purpose other than for Retailer service treatments to its clients, and may not be resold to any third party under any circumstances in any channel.
    4. Retail Product is packaged for shipment in case units of 6, therefore all orders for Products must be in multiples of 6. The Minimum Order Quantity (MOQ) is therefore 6 units. 
    5. Costs of shipping to Retailer will be free on the first order (paid by AWB) and will be paid by Retailer thereafter. AWB will include shipping costs in each invoice after the first order.
    6. If Retailer has completed the Credit Application, and AWB has accepted Retailer for purchases on credit (as indicated in writing), then payment for all product is net 30 days from the date of delivery at Retailer. Otherwise, payment must be made by credit card upon order, or otherwise paid before or on delivery.
    7. If Retailer purchases any Retail Products or Back Bar Products and has not paid in full upon ordering, Retailer shall pay for all fees and costs incurred by AWB in the recovery and collection of amounts owed in the event Retailer’s account or trade debt goes to collection.

    Samples, Gratis, Testers

    1. AWB will provide samples of product (in sample sizes) with each shipment free of charge to Retailer.
    2. As long as Retailer is continuing to order MOQ and promote the Retail Products, then every six months, AWB will provide an amount of gratis Retail Product units equal to the number of sales and esthetician employees of Retailer plus (when appropriate) additional gratis Retail Product for training and VIPs free of charge to Retailer.
    3. As long as Retailer is continuing to order MOQ and promote the Retail Products, then every 4 months (3 times per year), AWB will provide at least 1 Retail Product unit to each physical store for purposes of being an open tester for customers free of charge to Retailer.
    4. In the case of samples, gratis Retail Product, and Testers, notwithstanding the foregoing, the actual amount and timing of units provided free of charge to Retailer will be at the sole discretion of AWB.

    Retailer Sales Pricing

    1. AWB Suggested Retail pricing can be obtained by contacting Allison Daniels or Tony Abboud, or accessing the MAP Policy and MSRP pricing 
    2. Retailer agrees to abide by AWB’s MAP Policy, a copy of which is attached hereto and incorporated herein. The MAP policy includes our policy with regard to sales, discounts, bundling, and gift with purchase promotions.

    Approved Retail Channels

    1. Retailer may only sell Retail Products in its physical retail store locations and/or online store as approved by AWB as an Approved Retail Channel in a written Account Acceptance or other written document provided by AWB to Retailer (upon such approval, an “Approved Retail Channel”).
    2. Retailer will inform AWB (in writing and in advance) about any store re-locations and any new store openings (physical or online). If Retailer desires to sell Retail Product in any such re-located or new store, Retailer must obtain the approval of AWB in writing in advance.
      1. All new locations and new stores maybe subject to training, opening minimums, and quality control approvals by AWB before any Retail Products are sold or Back Bar Products used in such location or store.
    3. Unless otherwise expressly agreed in writing by Retailer and AWB, Retailer is prohibited from selling Retail Products in any manner other than through the approved physical or online stores.
    4. Under no circumstances may Retailer sell any AWB products (including Retail Products and Back Bar Products) on any internet marketplaces (such as Amazon, eBay, Groupon, Craig’s List, etc).
    5. Any sale by Retailer or representatives of Retailer outside of the authorized retail channels as provided in these Terms and Conditions will result in the immediate termination of Retailer’s account, permission to use any Marketing Assets, and any other permissions granted by AWB.


    1. In the event that any AWB product is damaged upon delivery, Retailer must contact AWB within 7 days of such delivery describing the damage, the product and number of units affected. If Retailer fails to contact AWB within this 7-day period, AWB may refuse to accept such returns in its sole discretion.
    2. Retailer understands that returns will not be accepted for any products that are not damaged unless such returns are preapproved by AWB in writing.
    3. To the extent that AWB approves the return of undamaged and saleable items, you agree to pack such returns carefully so that the items returned to AWB arrive in a re-saleable condition. Failure to do so may result in a 25% restocking fee, at AWB’s sole discretion.

    Marketing Assets, Intellectual Property

    1. AWB will provide Retailer with all approved images and creative copy for use in connection with the sale and advertising of Retail Products (“Marketing Assets”), including for seasonal. Marketing Assets will include AWB-owned logo and trademarks, and may include trade dress unique to AWB, as well as images and content that is copyrighted and owned by AWB.  Retailer understands that all goodwill created by Retailer in promoting or selling Retail Products and in using the Marketing Assets will inure to the benefit of AWB.
    2. Retailer may use Marketing Assets for promoting the Retail Products in the Approved Channels for the time period that Retailer’s Account remains active and valid. Retailer agrees to use the Marketing Assets in accordance with any reasonable instructions provided by AWB.  Retailer agrees that if AWB requests that Retailer change its use or cease its use of Marketing Assets based on quality control issues or because Retailer is not in compliance with its obligations under these Terms and Conditions, Retailer agrees to promptly comply with such request.
    3. If Retailer’s Account with AWB is terminated or remains dormant with no orders for more than 9 months, Retailer’s permission to use Marketing Assets will immediately cease and Retailer will immediately stop all such use.
    4. Retailer may only use images and creative copy created by Retailer in connection with the sale of Retail Products or promoting services using Back Bar Products with express prior written approval of AWB. Requests for approval of such images or creative must be sent to:

    General Terms

    1. Retailer is not, and will not act as, a wholesale agent to AWB. Neither party has any right to bind the other party to any contracts or obligations.  Retailer may not appoint any sub-distributors, sub-retailers, or otherwise transfer any obligations, rights, or permissions granted under these Terms and Conditions to any third party.  The parties are independent contractors and nothing in these Terms and Conditions will be deemed or constructed as creating a franchise, agency, partnership, or business opportunity between AWB and Retailer.
    2. Retailer will not sell any AWB products in any manner or through any channels other than as expressly permitted by these Terms and Conditions.
    3. Retailer acknowledges that AWB owns all right, title and interest in the AWB logos, trademarks, tag lines, trade dress, copyrighted material, and all other intellectual property in or on AWB products, product packaging, and the Marketing Assets, and that AWB has granted to Retailer limited rights to use the foregoing only for the purposes and time period set forth in these Terms and Conditions.
    4. AWB may terminate any Retailer’s permission to purchase and resell its Retail Products and/or use its Back Bar Products if AWB determines, in its discretion, that Retailer is not in compliance with these Terms and Conditions, with applicable laws, or its operations or use of our intellectual property (including the Marketing Assets) is derogatory to the brand or reputation of the brand, the products, or AWB.
    5. These Terms and Conditions, together with the MAP Policy, Wholesale Account Information, and Credit Application attached hereto and incorporated herein, constitutes the entire agreement and understanding between the parties and supersedes all prior agreements, representations, and writings between the parties related to the subject matter hereof. The parties agree that the laws of the State of Delaware will control with regard to interpretation of these Terms and Conditions and any dispute that might arise under the wholesale retailer relationship contemplated by these Terms and Conditions.  AWB’S LIABILITY IS LIMITED TO THE VALUE OF THE PRODUCTS PURCHASED BY RETAILER OVER ONE YEAR PERIOD OF TIME.  AWB WILL NOT BE RESPOSNBILE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTAL DAMAGES.    
    6. These Terms and Conditions may be amended or modified by AWB from time to time, in which case AWB will update its posting of these Terms and Conditions at Retailer should stay apprised of all updates by checking the Terms and Conditions regularly.  Your continued submission of orders after a change to the Terms and Conditions will be deemed your acceptance of the modifications.  No failure or delay to exercise any right under these Terms and Conditions shall be deemed a waiver unless expressly waived in writing.  

    AllWell Beauty Advertised Pricing (MAP) Policy
    for online and retail store distributors, dealers, and retailers

    Renmatix, Inc. dba AllWell Beauty (“AWB”) relies upon its authorized network of distributors, dealers, and retailers to preserve its reputation for providing customers with high-performance ethical products and to further enhance the AWB image, goodwill, and competitiveness in the marketplace.

    As a condition of being an online or physical store distributor, dealer, or retailer of AWB products (all of whom are referred to herein as “Retailers”), it is essential that this MAP Policy is adhered to.  AWB does not intend to do business with Retailers who compromise the perceived value of AWB and its products.  Accordingly, AWB reserves the right, in its sole and unilateral discretion, to sanction, terminate, or take other action with respect to any Retailer that chooses not to follow this MAP policy.

    1. Retailers may freely establish their own resale prices and sell AWB products at any price in their sole discretion; however, AWB products may not be advertised, either expressly or by implication, at a price less than the Manufacturer’s Suggested List Price (“MSRP”) as listed in the then current AWB Price List. Occasional advertised discounts to this minimum advertised price (the “MAP”) of up to, but no more than, twenty percent (20%) off the then current MSRP for the AWB brand must be preapproval in writing by an authorized representative of AWB at least 2 weeks prior to the promotion.  
    2. AWB may modify the MAP and the MSRP at any time and will notify all Retailers of such price modifications. All online Retailers must implement such modifications within thirty days from the date of receipt of such notice.  Current MAP Policy and MSRP can be found at

This MAP policy applies to advertising of AWB products in any and all media, including, but not limited to: flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet, Google Ads or similar, social media ads (e.g., facebook, Instagram, tic toc) or similar, television, radio, and public signage. This MAP policy is not applicable to prices displayed at any physical retail location of a Retailer in which individual end consumers can buy and take immediate delivery of the products.
    4. “Bundling” or the inclusion in advertising of free or discounted products (whether made by AWB or another manufacturer) with a product covered by this MAP policy would be contrary to the policy if it has the effect of discounting the advertised price of the covered product below the MAP. Any exceptions to this policy (e.g., gift with purchase) must be preapproved in writing by an authorized representative of AWB no less than 4 weeks prior to promotion.
    5. Pricing listed on an Internet web site is considered an “advertised price” and must adhere to this MAP policy. Once the pricing is associated with an actual purchase (an internet order), the price becomes the selling price and is not subject to this MAP policy.
    6. This Policy does not establish maximum advertised prices. All dealers and distributors may offer AWB products at any price in excess of the MAP established for such product.
    7. From time to time, AWB may discontinue a product, engage in promotions with respect to certain product(s), or engage in the sale of “close out” products. In such events, AWB reserves the right to modify or suspend the MAP with respect to the affected products.
    8. AWB may monitor the advertisements and advertised prices charged by Retailers, either directly or via the use of third-party agencies, to determine compliance with this Policy. AWB policy administrator shall be solely responsible for determining whether a violation of the policy has occurred and communicating any sanctions imposed.
